Corporations Annual Report – Florida

Remember that from January 1 to April 30, you must submit the Annual Report of your business (corporation or LLC) to the Florida Division of Corporations. Keep in mind that the Annual Reports need to be presented every year.

After April 30, the Corporations and LLCs that have not submitted the Annual Report will pay a $ 400 fine.

Additionaly, if you do not file the Annual Report before September 20, the business entity will be dissolved or revoked from the records of the Division of Corporations.

Florida also requires the registration of a “Registered Agent”, an additional service provided by ITC.
This renewal must be done together with the Annual Report.

According to the FLorida Division of Corporations website: “A company cannot act as its own registered agent.”
“The designated address for the registered agent is considered the registered office” and must be a physical location in Florida.
